Terms of Service

1. Introduction & Acceptance

By accessing or using Industry Intelligence's platform, services, or content ("Services"), you agree to these Terms of Service ("TOS"). If you do not agree, do not use the Services.

Enterprise Customers: If your organization has a Master Services Agreement ("MSA") with Industry Intelligence, that MSA governs your contractual rights, obligations, fees, and data usage. These TOS govern individual user conduct. In any conflict, the MSA controls.

Definitions:

"Industry Intelligence Parties" means Industry Intelligence Inc., its subsidiaries, affiliates, suppliers, agents, directors, officers, employees, representatives, successors, and assigns.

"Services" means Industry Intelligence's business intelligence platform, including but not limited to: (a) The AI Workforce—AI-powered intelligence agents ("AI Teammates"); (b) BI Products—curated intelligence reports, analytics, and integrations; (c) Platform Access—web dashboard, mobile application, and API integrations; (d) Notification and Communication Services—intelligence delivery via email, SMS, and Microsoft Teams; and (e) such other services as may be specified in an Order Form.

"Content" means all data, reports, analyses, stock price information, and other materials provided through the Services.

2. Intellectual Property

The Services and Content are protected by copyright, trademark, and other intellectual property laws. All rights in the Services, Content, and Industry Intelligence's technology remain the sole property of Industry Intelligence.

You may not:

• Copy, reproduce, distribute, publish, or create derivative works from the Services or Content
• Redistribute, recirculate, or republish Content without prior written consent
• Use Industry Intelligence's trademarks, logos, or service marks without authorization
• Use the Services or Content in unsolicited communications or spam

Sharing Features: You may use "Forward News," "Post to Teams," and "Post to CRM" features solely to share Industry Intelligence news content with authorized recipients for legitimate business purposes. You shall immediately cease sharing with any recipient who requests not to receive such content. When using these features, you shall not send content that is unlawful, offensive, misleading, or objectionable.

3. License & Restrictions

License Grant: Industry Intelligence grants you a non-exclusive, non-transferable license to access and use the Services for your internal business purposes in accordance with these TOS (or your MSA, if applicable).

Restrictions: You shall not:

• Use the Services for any illegal purpose
• Resell, sublicense, or transfer access to the Services or Content
• Reverse engineer, decompile, or attempt to obtain source code
• Interfere with system integrity or circumvent security measures
• Use any trademarks or logos in a manner suggesting affiliation with or endorsement by Industry Intelligence

4. AI Features

Your use of AI-powered features ("AI Features"), including AI Workforce and AI Teammates, is governed by Industry Intelligence's AI Acceptable Use Policy, which is incorporated herein.

Key Terms:

• AI outputs ("AI Outputs") are not guaranteed to be accurate, complete, or reliable. AI systems are probabilistic and may produce errors or "hallucinations."
• You are responsible for verifying AI Outputs before relying on them.
• AI Outputs do not constitute legal, financial, medical, tax, or other professional advice.
• You shall not use AI Outputs as the sole basis for safety-critical, medical, legal, financial, employment, housing, credit, or insurance decisions without qualified human review.
• You shall not use AI Outputs to train competing AI systems or conduct adversarial testing without authorization.

Data Practices: Industry Intelligence does not use your inputs or AI Outputs to train AI models. See our Privacy Policy for details.

5. Stock Price Information

The Services may include end-of-day stock price information from U.S. and international exchanges. This information is provided for informational purposes only and is not intended for trading purposes. Industry Intelligence does not guarantee the sequence, accuracy, completeness, or timeliness of stock price data. Nothing in the Services constitutes a solicitation, offer, or recommendation to buy or sell any security.

6. Data Privacy & Security

Industry Intelligence handles your data in accordance with its Privacy Policy. Your data is stored on secure servers in the United States with encryption in transit and at rest. Industry Intelligence does not sell, rent, or market your personal information.

If you opt in to SMS communications, your mobile phone number is handled in accordance with our SMS Privacy Policy.

7. Fees & Payment

If you access fee-based portions of the Services, you shall pay all fees at the rates in effect for the applicable billing period. All fees are non-refundable. You are responsible for all applicable taxes. Industry Intelligence may charge late fees of 1.5% per month on overdue balances.

8. Account Registration

To access certain Services, you must create an account with accurate, current information. You are responsible for maintaining password confidentiality and for all activity under your account. Notify Industry Intelligence immediately of any unauthorized use at contact@industryintel.com. Account use by individuals under 18 is prohibited.

9. Disclaimer of Warranties

THE SERVICES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." INDUSTRY INTELLIGENCE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Industry Intelligence does not warrant that the Services will be uninterrupted, error-free, or compatible with your equipment. Industry Intelligence specifically disclaims any warranty regarding AI Output accuracy, completeness, or reliability.

10. Limitation of Liability

IN NO EVENT SHALL INDUSTRY INTELLIGENCE PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

INDUSTRY INTELLIGENCE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Industry Intelligence is not liable for: (a) inaccuracies or omissions in the Services, including stock price data; (b) delays or interruptions in service delivery; (c) your reliance on AI Outputs; or (d) content of third-party websites linked from the Services.

11. Indemnification

You agree to indemnify, defend, and hold harmless Industry Intelligence Parties from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these TOS; (c) your infringement of any third-party rights; or (d) your reliance on or distribution of AI Outputs.

12. Termination

You may terminate by discontinuing use and destroying all materials obtained from the Services. Industry Intelligence may terminate or suspend your access at any time, with or without cause, effective immediately. Upon termination, you must cease using the Services and destroy all Content in your possession.

13. Governing Law & Jurisdiction

These TOS are governed by California law without regard to conflicts-of-law principles. You submit to the exclusive jurisdiction of state and federal courts in Los Angeles County, California.

14. Export Compliance

You represent that you are not located in, or a national of, any country subject to U.S. trade sanctions (including Cuba, Iran, North Korea, Sudan, or Syria), and that you are not on any U.S. Prohibited Party List.

15. Linking & Framing

You may link to publicly accessible pages of industryintel.com. You may not frame any portion of the Services or link from any site containing unlawful, defamatory, or infringing content. For permission requests, contact legal@industryintel.com.

16. General Provisions

Modifications: Industry Intelligence may modify these TOS at any time. Continued use constitutes acceptance.

Severability: If any provision is unenforceable, remaining provisions continue in effect.

Waiver: Failure to enforce any provision does not waive that right.

Entire Agreement: These TOS, together with the Privacy Policy, AI Acceptable Use Policy, and any applicable MSA, constitute the entire agreement regarding the Services.

17. SMS Communications

By opting in to receive SMS notifications from Industry Intelligence, you consent to receive text messages to the mobile phone number you provided. Message frequency varies based on your notification preferences and may include intelligence alerts, regulatory updates, and service-related communications.

Opt-In Consent: You will receive an initial text message confirming your opt-in. Your consent is not a condition of purchase.

Opt-Out: Reply STOP to any message to unsubscribe. You will receive one final confirmation message. Reply HELP for assistance or contact clientcare@industryintel.com.

Message & Data Rates: Standard message and data rates may apply depending on your mobile carrier plan.

Supported Carriers: Services available on major U.S. carriers including AT&T, T-Mobile, Verizon, and others.

Privacy: We do not share your mobile phone number or SMS consent data with third parties for marketing purposes. See our full SMS Privacy Policy and general Privacy Policy.

No Warranty: SMS delivery times may vary and are not guaranteed. Industry Intelligence is not liable for delayed or undelivered messages.
